Terms of Engagement

These Terms of Engagement govern any project, retainer, or consulting engagement between Symcora, operated by Sajjad Rabby, and the client. By booking a call, signing a proposal, or making payment for services, you agree to these terms. Specific scope, pricing, and timelines for your engagement are confirmed separately in writing — where anything in that document differs from these general terms, the signed proposal or contract governs.

Services

Symcora provides operations, project management, and Fractional COO consulting services, including but not limited to: operational audits, project management system setup, CRM setup and automation, short-term rental (STR) operations systems, ongoing Fractional COO retainer work, and digital marketing systems support. The specific scope of any engagement is defined in a proposal or statement of work agreed before work begins.

Engagement Process

Engagements typically begin with a discovery call and, where applicable, an Ops Audit to define the scope of further work. A written proposal or statement of work outlining deliverables, timeline, and pricing will be shared and must be confirmed (in writing or via payment) before scoped project work begins. Retainer engagements (including the Fractional COO Retainer) are billed monthly and continue until either party provides notice to end the engagement, per the Term and Termination clause.

Fees and Payment

Pricing for each engagement is confirmed in the proposal or statement of work prior to work starting. Fixed-scope projects (e.g. Ops Audit, CRM Setup, PM System Setup, STR Operations System) are invoiced according to the schedule agreed in the proposal — commonly 50% upfront and 50% on delivery, unless otherwise stated. Retainer engagements are billed monthly in advance. Payment is due within the timeframe stated on the invoice. Work on an active engagement may be paused if payment is significantly overdue and unresolved after reasonable notice. All fees are quoted exclusive of any applicable taxes, which are the client's responsibility unless stated otherwise.

Client Responsibilities

To meet the timelines described in the SLA Framework, you agree to: provide timely feedback, approvals, and any information requested; grant necessary access to tools, systems, and accounts required to complete the engagement (e.g. CRM, project management, or property management platforms); and designate a primary point of contact for decisions and approvals. Delays caused by missing access, feedback, or materials on your side may extend delivery timelines and are not considered a breach of the SLA Framework.

Intellectual Property and Deliverables

Deliverables created specifically for you as part of a scoped engagement (SOPs, dashboards, automation workflows, documentation) become your property upon final payment. Symcora retains the right to use general methodologies, frameworks, and non-confidential knowledge developed during an engagement in future work with other clients. Symcora may reference the nature of completed engagements (e.g. as case studies) using anonymized or generalized descriptions unless you agree in writing to the use of your name, brand, or specific details.

Term and Termination

Scoped projects conclude upon delivery of the agreed deliverables and final payment. Retainer engagements continue month-to-month and may be ended by either party with 14 days written notice, unless a different notice period is specified in your signed agreement. Symcora reserves the right to end an engagement with written notice in cases of non-payment, unreasonable scope changes without compensation, or conduct that makes the working relationship untenable. Fees for work completed up to the termination date remain payable.

Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement (financial data, internal processes, credentials, customer data, etc.) and to use it solely for the purpose of delivering the agreed services. This obligation continues after the engagement ends.

Independent Contractor Relationship

Symcora operates as an independent contractor, not an employee, partner, or agent of the client. Nothing in these terms creates an employment, partnership, or joint venture relationship between the parties.

Limitation of Liability

Symcora will perform services with reasonable skill and care in line with the SLA Framework. To the extent permitted by law, Symcora total liability for any claim arising from an engagement is limited to the fees paid for the specific service giving rise to the claim. Symcora is not liable for indirect, incidental, or consequential damages, or for outcomes affected by factors outside its reasonable control, including third-party platform issues (see SLA Framework, Section 4).

Dispute Resolution

Both parties agree to first attempt to resolve any dispute directly and in good faith. If a resolution cannot be reached, disputes will be handled in accordance with the governing law stated in the Governing Terms clause.

Governing Terms

These terms are intended to apply reasonably across Symcora international, remote client base. Where a signed contract for a specific engagement specifies a different governing law or dispute process, that agreement takes precedence over this general page.

Changes to These Terms

These Terms of Engagement may be updated periodically. Material changes will be communicated to clients under an active engagement; the terms in place when your agreement was signed continue to apply to that engagement unless both parties agree otherwise.
